TERMS OF USE AGREEMENT

This Terms of Use Agreement ("Agreement") is a legally binding agreement between Susi B. Marketing, Inc. ("SBM" or “us” or “we”) and you ("Subscriber" or “you”) regarding your use of SBM’s website currently known as www.ididsomethinggoodtoday.com and any services, features, contents or applications offered at this website or any other domains associated with  SBM or Angie the Ant™  including related sub-domains, including teamangie.com and angietheant.com (collectively the "Website").

By using the Website, you agree to be bound by the terms of this Agreement. SBM may change, modify, add, or delete portions of this Agreement from time to time and such changes shall be effective upon posting on the Website. Your continued use of the Website after such changes constitutes your acceptance of the new or modified Agreement.

1. Use and Termination

You must be 13 years of age or older to register as a Subscriber. If you are under the age of 13, you are not allowed to register and become a Subscriber of or access the Website. By registering as a Subscriber, you represent and warrant that you are 13 years of age or older. SBM reserves the right, in its sole discretion, to terminate your Membership effective immediately for any reason, with or without notice. You may also terminate your Membership at any time for any reason by giving SBM written notice of such intent.

2. Proprietary Rights

The Website uses and contains proprietary intellectual property rights owned by or licensed by SBM. Use of the Website shall not be construed as giving you any rights or license to such intellectual property rights except for information in the public domain. With regard to any assistance you may give in the improvement or development of the Website (including but not limited to any ideas, designs, plans or know-how), you agree to grant SBM a perpetual, worldwide, royalty-free and fully paid-up, irrevocable, transferable license to use and sublicense the intellectual property contained in such assistance.

3. Subscriber Conduct

a. You agree that you will not upload, distribute or reproduce on the Website:

            i) any copyrighted material, trademarks, or other proprietary information without obtaining the       prior written consent of the owner of such proprietary rights;

            ii)  any material that is violent, threatening, abusive, sexually explicit, obscene, offensive,    hateful, derogatory, defamatory, libelous or racially, ethnically or otherwise objectionable;

            iii)  any material that promotes an illegal activity;

            iv)  spam or junk mail or other material for a commercial purpose;

            v)  false or misleading material; or

            vi) any material that contains software viruses, bugs, worms or any other computer code, files or   programs designed to interrupt, destroy or limit the functionality of any computer software or             hardware or telecommunications equipment.

b. You further agree that:

            i) The Website is available for your personal, non-commercial use only;

            ii) You will not use the Website in any unlawful manner; and

            iii) You will not use or attempt to use another Subscriber's account or create a false identity on       the Website.

4. Subscriber Content Posted On The Website

You are solely responsible for the content that you publish or display on Website, or transmit to other Subscribers (collectively the "Subscriber Content"). You agree that SBM may review and delete or remove any Subscriber Content that in its sole judgment violates this Agreement or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of Subscribers or others. SBM assumes no responsibility for the Subscriber Content, nor does SBM assume any obligation to modify or remove any inappropriate Subscriber Content or responsibility for the conduct of the Subscriber submitting any such Subscriber Content. By posting Subscriber Content to any part of the Website, you automatically grant, and you represent and warrant that you have the right to grant, to SBM an irrevocable, perpetual, non-exclusive, transferable, royalty-free and fully paid-up, worldwide license (with the right to sublicense) to use, copy, perform, display, reformat, translate, excerpt (in whole or in part) and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sublicenses of the foregoing.

5. Links to Other Websites

The Website contains links to other Internet websites (the “Other Sites”). SBM is not responsible for the content, accuracy or opinions expressed in the Other Sites, and the Other Sites are not investigated, monitored or checked for accuracy or completeness by SBM. A pointer, link or other reference to the Other Sites on or through the Website does not imply approval or endorsement of the Other Sites by SBM. If you decide to leave the Website and access the Other Sites, you do so at your own risk.

6. Alternate Accounts

While Subscribers may choose to join the Website with more than one account, the practice of using an alternate account to harass other subscribers or violate the terms of use is not acceptable. Alternate accounts are generally treated as separate from a subscriber’s main account, but misuse of alternate accounts can and will result in disciplinary action on all accounts, including the main account.

7. Copyright Violation Notice

a. If you believe your work has been copied in a way that constitutes copyright violation or are aware of any infringing material on the Website, please contact us immediately at address below address and provide us with the following information:

            (i) a description of the copyrighted work that you claim has been infringed;

            (ii) a description of where the material that you claim is infringing is located on the Website;

            (iii) your full name, your parent’s name, your address, telephone number, and email addresses       for you and your parent;

            (iv) a written statement by you that you have a good faith belief that the disputed use is not          authorized by the copyright owner, its agent, or the law;

            (v) a statement by you, made under penalty of perjury, that the above information in your notice    is accurate and that you are the copyright owner or authorized to act on the copyright owner's            behalf; and

             (vi) an electronic or physical signature of a person authorized to act on behalf of the copyright       holder or owner of an exclusive right that is allegedly infringed.

c. Upon receipt of a Copyright Violation Notice from a copyright owner, SBM will notify the Subscriber of the alleged violation. Please note that personal Subscriber information is not shared with the copyright owner unless required by law. If SBM receives more than one Notice of Claimed Copyright Violation regarding a Subscriber's posted content, the Subscriber may be deemed a "repeat copyright infringer." SBM reserves the right to terminate the accounts of "repeat copyright infringers" with or without prior notice.

8. Disclaimers

a. SBM has the right, in its sole discretion, to remove or restrict access to any material uploaded by a Subscriber that it views as violating the terms of this Agreement or inconsistent with the policy of SBM. Notwithstanding such right, SBM is not liable for any material uploaded by a Subscriber, including but not limited to the accuracy of the material or the conduct of a Subscriber either within the Website or offline.

b. The Website is provided "AS IS," and SBM does not guarantee the functionality of the Website or a particular result from the use of the Website. You acknowledge and agree that SBM is not liable for any interruption or breakdown of service, loss or corruption of data, attacks against the Website from third parties, any technical malfunction at any point in the provision of the service of the Website or force majeure.

c. SBM expressly disclaims any responsibility for loss or damage, including personal injury or death, resulting from the use of the Website or from any content posted on the Website or any interactions among Subscribers, whether online or offline. SBM EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

 

9. Limitation of Liability

SBM SHALL NOT BE HELD LIABLE TO YOU OR ANY THIRD PARTY FOR LOSS OF PROFIT, LOSS OF USE, BUSINESS INTERRUPTION, LOSS OF DATA OR COST OF PROCUREMENT OF SUBSTITUTE GOODS, TECHNOLOGIES OR SERVICES, COST OF COVER OR PUNITIVE, EXEMPLARY, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE USE OF THE WEBSITE OR THIS AGREEMENT. NOTWITHSTANDING ANY PROVISION IN THIS AGREEMENT TO THE CONTRARY, SBM'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL BE LIMITED TO THAT AMOUNT PAID, IF ANY, BY YOU TO SBM FOR THE SERVICES OF THE WEBSITE DURING THE TERM OF SUBSCRIBERSHIP.

10. Indemnity

You agree to indemnify and hold harmless SBM, its officers, directors, employees, agents, subsidiaries and affiliates from any loss, liability, claim or demand, including attorneys' fees, made by any third party due to or arising from your use of the Website, any content that you upload, your use of content on the Website, your violation of this Agreement or your violation of any third-party rights.

11. Privacy Policy

SBM is very concerned about protecting the privacy of Subscribers. Fore safety, the profiles of all Subscribers between the ages of 13 and 16 will be kept private  For more information, please see SBM’s Privacy Policy at www.teamangie.com/privacy.

12. Disputes

This Agreement and any disputes arising from this Agreement or use of the Website shall be governed by the laws of South Carolina without reference to its provisions on conflict of laws. Any dispute relating in any way to the Website (including your visit to or use of the Website) shall be submitted to confidential arbitration in South Carolina except that, to the extent you have in any manner violated or threaten to violate proprietary or intellectual property rights of SBM or any of its affiliates, we may seek injunctive or other appropriate relief in any state or federal court of competent jurisdiction. For the purpose of such relief, you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to, non-exclusive venue and jurisdiction in the state and federal courts of the South Carolina. Arbitration under this Agreement shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under these Terms of Use shall be joined to an arbitration involving any other party subject to these Terms of Use, whether through class arbitration proceedings or otherwise. Any claim, action or proceeding by you related in any way to the Website (including your visit to or use of the Website) must be instituted within one (1) year after the cause of action arose or be forever waived and barred.

13. Miscellaneous

This Agreement together with the Privacy Policy contains the entire agreement between SBM and you concerning the subject matter hereof. The failure of SBM to exercise or enforce any right under this Agreement shall not be deemed to be a waiver of that right nor operate to bar the exercise or enforcement of it at any time or times thereafter. In the event that any provision of this Agreement is found invalid, the remainder of the Agreement shall remain valid and enforceable according to its terms.

Conversations in all parts of ididsomethinggoodtoday.com, teamangie.com, and angietheant.com are logged and can be monitored at any time without warning. Questionable behavior may be reported to appropriate authorities and Subscribers will be expelled accordingly.

If Subscribers use normally “acceptable” words as substitutions for other disallowed words to convey inappropriate information, the Subscribers will be banned from ididsomethinggoodtoday.com, teamangie.com, and angietheant.com com for their own protection and protection of others.

SBM strongly encourages Subscribers to immediately report the abusive behavior to service@teamangie.com.

1. Do not share personal information, such as your full first and last name, phone number, school location, IM name, city or state on boards, chats or any type of posts. Once you post this information -- it's out there and available for anyone to see.

2. Do not reveal personal information about your friends or other people.
